ELSA is proud to collaborate with VdA – Vieira de Almeida, a leading Portuguese law firm, to bring you the ELSA x VdA Webinars Academy on Transactional Law. This online educational event offers law students and recent graduates an exclusive opportunity to explore the full lifecycle of corporate transactions guided by experts from one of Europe’s most respected legal practices.
Over the course of three dynamic days: 21st, 23rd, and 25th July, participants will delve into key areas of transactional law, including due diligence, deal structuring, M&A documentation, corporate financing, and professional development for aspiring transactional lawyers.
AGENDA
Day 1 (21st July, 15:00-20:00 CEST): Foundations of Transactional Law
Introduction to the fundamentals of transactional law, including the typical deal lifecycle and the lawyer’s role from due diligence through to closing. Core topics include the due diligence process and different transaction structures - particularly the distinction between share deals and asset deals. Focus on building a solid foundation in the essential concepts and considerations that underpin transactional legal practice.
Day 2 (23rd July, 15:00-20:00 CEST): Practical Skills and Corporate Finance
Focus on practical aspects of transactional work, with emphasis on drafting and negotiating key agreements such as share purchase agreements and shareholders’ agreements. Coverage of corporate financing fundamentals, including common structures and key provisions in financing documents. Aim is to develop a comprehensive understanding of the core documentation and financial elements shaping transactions.
Day 3 (25th July, 15:00-20:00 CEST): Specialised Topics and Professional Development
Insight into specialised aspects of transactional legal practice, along with the interpersonal and commercial skills essential for managing clients, teams, and negotiations. Conclusion with a focus on career development, highlighting the mindset, skills, and habits needed to grow and succeed as a transactional lawyer.

Live sessions will take place on 21st, 23rd, and 25th July, from 15:00 to 20:00 CEST.
All sessions will be recorded and made available to registered participants until 26th August 2025. This flexibility makes it an amazing opportunity to gain deep insights into transactional legal practice from wherever you are!
All sessions will be held in English.
The webinar will be hosted via ClickMeeting. Participation links will be shared with all registered participants ahead of the event.
